Description

The Commercial Counsel collaborates across departments globally and is a strategic thought partner to the Commercial and Sourcing functions, as well as other functions across the company.

Span of Control:  No direct reports but has indirect leadership through stakeholder management.

JOB DUTIES AND RESPONSIBILITIES:

Strategic Business Partner to Sourcing, Capital Delivery & Other Functional Leaders

  • Responsible for providing sound, practical legal advice, identification of legal risks and execution of appropriately risk mitigation strategies for the Sourcing and Capital Delivery groups
  • Provide advice and counsel in the negotiation, review and drafting of Sourcing and Capital Delivery agreements
  • Review, execute and manage contracts in accordance with the Corporate Levels of Authority Policy and other corporate policies of the Company
  • Create, continually update, and maintain effective and efficient transaction processes (covering legal, business and staff function areas)
  • Responsible for ensuring that the Sourcing and Capital Delivery groups avoid legal surprises and that leaders are fully briefed on all relevant legal issues
    • Working closely with and coordinating activities and communications with the Senior Sourcing and Real Estate Counsel for the Sourcing and Capital Delivery groups

Provide Commercial Counselingto the Composites Rebar Business

  • Primary responsibility for providing sound, practical legal advice, identification of legal risks and execution of appropriately risk mitigation strategies, and counseling for business strategy and commercial work within Composites Rebar business
  • Provide advice and counsel in the negotiation, review and drafting of commercial agreements/transactions affecting Composites Rebar Business
  • Review, execute and manage contracts in accordance with the Corporate Levels of Authority Policy and other corporate policies of the Company
  • Review and analyze legal issues to ensure appropriate subject matter experts are engaged when necessary
  • Builds commercial legal expertise for issues relating both internally and externally to the Company that supports and anticipates legal challenges, opportunities, and trends on a global basis

Provide Commercial Counseling across all three of our businesses (Roofing, Insulation and Composites)

  • Responsible for providing sound, practical legal advice, and counseling for commercial work within our Roofing, Insulation and Composites businesses
  • Provide advice and counsel in the negotiation, review and drafting of commercial agreements involving all three businesses
  • Review, execute and manage contracts in accordance with the Corporate Levels of Authority Policy and other corporate policies of the Company
  • Review and analyze all legal issues to ensure that appropriate subject matter experts are engaged when necessary
  • Builds commercial legal expertise for issues relating both internally and externally to the Company that supports and anticipates legal challenges, opportunities, and trends on a global basis
  • Assist on special projects, as needed
  • Works with and communicates developments and/or issues to Business general counsels

  • Continuously builds an intimate knowledge of the Company, including internal structures, customers, major suppliers, and competitors to ensure that all guidance is provided within an appropriate context.
  • Builds Sourcing, Capital Sourcing and Commercial legal expertise internal and external to the Company that supports and anticipates legal challenges, opportunities, and trends on a global basis.
  • Partner with company and stakeholders in driving enterprise wide pricing strategy.

Leading the Corporation

  • Inspires teamwork across all functions and business groups to maximize the performance of the Company and the development of people
  • Is regarded by the Vice President – Corporate and Finance Law and the legal team as uniquely skilled at working across organizational and geographic boundaries
  • Is regarded by the employees of Law Department as a role model for their growth, development, and conduct
  • Communicates legal and compliance issues and strategy to leaders in a timely and effective way

JOB REQUIREMENTS

Minimum Qualifications

  • Juris Doctor degree and Bar Membership in at least one state required
  • Minimum of 5 years of experience working as an attorney in either a law firm or corporate setting.

Experience Preferred

  • Supporting or working for companies which sell products used in manufacturing
  • Support/Working knowledge in the following areas: sourcing, commercial contracts, consumer, corporate, marketing, and real estate law
  • Experience/working knowledge in any of the following areas: antitrust, compliance, import/export, franchising, and M&A
